HUMAN MOTION DATA, INC.
Global Master Contributor Services Agreement
Residential Home Data Collection with Embedded Household Permission and Privacy Terms
Master Contributor Services Agreement
Important. This global contributor form is intended for residential home-task data collection only and must be read together with the applicable Country Addendum for the country of collection.
1. Engagement; Variable Hours; No Guaranteed Volume
The Company may offer Contractor assignments from time to time in residential homes or other authorized residential settings. Contractor is not required to accept any minimum number of assignments, and the Company does not guarantee any minimum number of assignments, hours, uploads, or earnings.
Because the Company's business depends on fluctuating client demand and acceptance criteria, Contractor's active recording time may vary materially from week to week. Some contributors may perform only a few hours of services in a given week and others may perform substantially more.
Compensation is based on accepted usable footage and accepted services rather than a fixed salary or fixed weekly schedule. Unless non-waivable local law requires a different treatment, Contractor will be paid for accepted usable footage at the task rate shown in the Company app, Assignment Brief, or other written assignment flow at the time the recording is accepted, including any reduced rate shown for over-limit task diversity, payable in USD or the local-currency equivalent through an approved payment channel.
Once Contractor accepts an assignment and begins active recording, Contractor must devote professional attention to the services being performed during that active recording period and may not simultaneously perform services for a third party or engage in conduct that materially interferes with quality, legality, or safety.
2. Intended Relationship
The parties intend to create an independent contractor relationship and not an employer-employee relationship. Contractor controls whether to accept a particular assignment, supplies Contractor's own approved equipment unless the Company provides equipment in writing, and is responsible for Contractor's own taxes, registrations, and contributions except to the extent the Company is legally required to withhold or remit an amount.
Nothing in this Agreement creates exclusivity, partnership, agency, joint venture, or authority for Contractor to bind the Company. Contractor may provide services to others, provided Contractor complies with confidentiality obligations, avoids conflicts of interest, and does not provide simultaneous services to another party during active recording for the Company.
Legal classification depends on actual practice as well as contract language. Nothing in this Agreement waives any right or protection that cannot lawfully be waived under applicable law.
3. Eligibility and Contractor Representations
Contractor represents that Contractor is at least eighteen (18) years old, has legal capacity to enter into this Agreement, and will provide accurate identity, tax, payment, and contact information reasonably requested by the Company.
Contractor represents that Contractor has, or will have before recording, lawful access to the equipment, connectivity, transportation, and lawful work arrangements reasonably necessary to perform accepted assignments.
Contractor will personally perform the services unless the Company gives prior written approval to delegate a specific assignment. Contractor will not allow another person to perform the services or appear as the collector under Contractor's account without written approval and a Company-approved written agreement.
Contractor will not perform services in a manner that violates applicable law, including privacy, intellectual property, safety, labor, and local-access rules. Contractor will not knowingly capture or submit content that infringes third-party rights or violates privacy, publicity, or confidentiality rights.
Contractor further represents that Contractor will record only in (a) Contractor's own home, or (b) a home in which Contractor has permission to enter, clean, and record, including a family member's home or another residence where an adult owner, lessee, resident, or authorized occupant has granted permission. Contractor is responsible for the truth, sufficiency, and legality of those permissions.
4. Services and Assignment Rules
Services will be offered through written Assignment Briefs, including by e-mail, app flow, platform notice, or other written format. Assignment Briefs may specify task descriptions, locations, constraints, target durations, required releases, submission format, deadlines, and quality requirements.
For each accepted assignment, Contractor shall collect egocentric video data and related metadata strictly in accordance with this Agreement, the applicable Assignment Brief, the Company's written policies, and the applicable Country Addendum.
Services under this global form are limited to residential home environments and may include room tidy-up, end-to-end dishes cleanup, end-to-end laundry, mapping or scan walks where separately authorized and equipped, and other practical household tasks requiring hand manipulation. Services may be performed only in Contractor's own home or in a home where Contractor has permission to enter, clean, and record.
Contractor shall not stage fake or contrived activity, imitate robotic motion unnaturally, submit footage that does not reflect a real task performed purposefully and lawfully, trespass, harass, endanger any person, or violate traffic, site, or safety rules in performing the services.
All collection must occur only through the Company-approved application or workflow. The Company-approved collection application or workflow may record audio in synchronization with video and related sensor data, together with related metadata. Contractor shall record only where the required permissions, notices, and consents have been obtained through Company-approved procedures.
5. Consent, Privacy, and Authorized Recording
Contractor may record only while cleaning or performing authorized household tasks in (a) Contractor's own home, or (b) a home in which Contractor has lawful permission to enter, clean, and record, including a family member's home or another residence where an adult owner, lessee, resident, or authorized occupant has granted permission.
Contractor is responsible for ensuring, before recording begins, that all permissions, notices, and consents required by applicable law or the Company's procedures have been obtained through a Company-approved form, app flow, or other approved execution method. Contractor shall not substitute homemade notices, misleading explanations, or verbal-only permissions where the Company requires written or electronic assent.
If recording occurs in a residence other than Contractor's own home, Contractor must ensure that an adult owner, lessee, resident, or authorized occupant with authority over the premises has authorized the cleaning and recording and has identified any designated areas, excluded areas, excluded items, or relevant house rules for the visit.
Contractor may record only in the designated areas authorized for cleaning or collection. If an area or item is excluded, Contractor must not intentionally record it and must pause, reposition, or stop if necessary. Incidental capture should be limited to what is reasonably necessary to enter, exit, or safely perform the task.
Any additional adult expected to be present and visible, audible, or otherwise identifiable in the recording area must be informed that synchronized audio and video are recorded and must provide any written or electronic consent, acknowledgment, or other approval required by applicable law or the Company's approved execution flow before remaining in the recording area. Adults who do not wish to be recorded should stay outside the recording area and reasonable audio-capture range. If an unauthorized, unsigned, objecting, or non-consenting person enters the area or begins speaking within recording range, Contractor shall pause, reposition, exclude that person from capture, or stop recording as reasonably appropriate.
Minors must be kept out of the recording area and excluded from intentional collection of their image, voice, speech, or other personal data unless the Company has separately approved the situation in writing and all consent or authorization required by law has been obtained. Contractor may not rely on a minor's signature as consent or authorization.
Contractor shall avoid capturing information that could reasonably be considered sensitive personal information, including government IDs, financial documents, medical records, passwords, private device screens, unrelated private conversations, confidential discussions, financial-account information, or other unnecessary sensitive spoken information, unless capture is specifically required by the Assignment Brief and the Company has provided lawful-basis instructions and safeguards.
If any individual objects to being recorded or asks to stop, Contractor shall stop recording or promptly reposition to exclude that person from capture and notify the Company through the designated channel.
Audio Recording
The Company-approved collection application or workflow may record audio in synchronization with video and related sensor data. Audio may include environmental sounds, sounds generated by household tasks, tools, appliances, and objects, Contractor speech or narration, and incidental speech or voices of other authorized individuals in the recording area.
Contractor expressly consents to the recording, processing, review, annotation, transcription where applicable, model training and evaluation, research, product development, customer demonstration, licensing, sublicensing, commercialization, and other authorized use of Contractor's voice, speech, narration, task-performance sounds, and other audio contained in Project Data.
Contractor shall ensure before recording that every other individual expected to be audible or identifiable in the recording area has received any required notice and provided any permission or consent required by applicable law and Company procedures. Contractor shall not intentionally record private conversations or spoken information of unauthorized individuals.
If an unauthorized or objecting individual enters the recording area or begins speaking within recording range, Contractor shall pause, reposition, exclude the individual from capture, or stop recording as reasonably appropriate.
Contractor shall avoid capturing unrelated private conversations, passwords, financial-account information, medical information, government-identification information, confidential business information, or other unnecessary sensitive spoken information.
6. Acceptance, Rejection, and Compensation
The Company will determine in good faith whether recorded footage or other deliverables satisfy the applicable specifications, policies, and legal requirements. The Company may reject, down-rate, or request re-performance of footage that is unusable, unlawful, corrupted, duplicative, unsafe, outside scope, non-compliant, or poses a legal, privacy, or safety risk.
Unless non-waivable local law requires otherwise, Contractor will be paid only for accepted services and accepted usable footage. Time spent traveling, setting up, correcting errors, re-performing rejected work, or attending optional orientation is not separately compensable unless expressly approved in writing.
The Company may maintain system records and self-billing records for purposes of measuring accepted usable footage and calculating payment. Contractor shall review each payment statement promptly and notify the Company of a good-faith discrepancy within seven (7) calendar days after receipt.
The Company is not obligated to pay for rejected submissions, except to the extent the Company elects in writing to pay all or part of a rejected submission.
7. Equipment, Safety, and Site Conduct
Contractor will provide and maintain necessary equipment, including camera or phone, mounts, and power banks, unless the Company provides equipment for a particular assignment. Contractor shall use only equipment that meets or exceeds the technical minimums stated in the applicable Assignment Brief.
Contractor shall not perform a task or continue recording where doing so would be unsafe, unlawful, or materially inconsistent with the instructions of the homeowner, resident, or authorized occupant, site rules, or Company policy. Contractor shall immediately stop services and notify the Company if Contractor encounters dangerous conditions, aggressive animals, weapons hazards, medical emergencies, or any instruction that appears unlawful or unethical.
Contractor shall report accidents, injuries, loss of equipment containing Project Data, and any threatened or actual data breach promptly through the required channel.
8. Project Data; Intellectual Property; Use of Contractor Likeness
"Project Data" means all video, synchronized audio, voice, speech, narration, environmental sounds, acoustic data, images, motion data, sensor data, timestamps, device information, logs, notes, labels, annotations, quality-control records, and other materials captured, created, submitted, or generated in connection with the services. Project Data includes footage and audio in which Contractor's own image, likeness, voice, speech, spoken words, narration, hands, arms, body, movements, clothing, task performance, or other identifiable attributes appear incidentally or intentionally.
As between the parties, all right, title, and interest in and to the Project Data, and all derivatives, annotations, labels, de-identified data, aggregated data, synthetic data, models, model parameters, and outputs created from or using the Project Data, vest exclusively in the Company upon creation. To the extent any right does not automatically vest, Contractor irrevocably assigns it to the Company.
Contractor expressly consents to the Company's recording and use of Project Data depicting or containing Contractor's image, likeness, voice, speech, spoken words, narration, movements, and task performance in connection with the services, including internal use, quality review, annotation, transcription where applicable, model training and evaluation, research, product development, customer demonstrations, licensing, sublicensing, commercialization, publication, and public or open-source release if the Company elects to do so and the release is otherwise lawful under the applicable Country Addendum. Unless separately agreed in writing, Contractor will not be identified by direct name or direct contact details in connection with any public release of Project Data.
Contractor will not be entitled to royalties, residuals, approval rights, or additional compensation arising from the Company's ownership or downstream use of Project Data, except as expressly stated in this Agreement or required by non-waivable law.
9. Confidentiality
'Confidential Information' includes non-public information about the Company, its clients, assignment locations, homeowners, site representatives, pricing, software, workflows, specifications, disputes, and Project Data. Confidential Information does not include information that becomes public through no breach by Contractor or is lawfully received from a third party without a duty of confidentiality.
Contractor shall keep Confidential Information confidential and use it only as necessary to perform accepted assignments for the Company. Contractor shall not post, stream, message, discuss, or otherwise disclose any Project Data or Confidential Information on social media, public forums, or to any third party, except to the Company or as required by law after giving prompt written notice if legally permitted.
Upon request or termination, Contractor shall promptly return or securely delete Company materials and Confidential Information in Contractor's possession, custody, or control, subject to any limited retention required by law.
10. Data Protection and Security
Contractor shall process personal data only on the Company's documented instructions and only for authorized project purposes. Contractor shall not use Project Data for any personal purpose, any other client, or any attempt to identify or re-identify a homeowner, household member, bystander, or site occupant except as necessary to report an incident or comply with a Company instruction or legal obligation.
Contractor shall use reasonable administrative, technical, and physical safeguards appropriate to the sensitivity of the data and the risks presented by the processing, including device passcodes, timely software updates, secure upload practices, and prompt incident reporting.
Project Data may be transferred to and processed in jurisdictions outside the country of collection, including the United States, subject to the protections and limitations stated in the applicable Country Addendum and the Company's safeguards.
11. Term; Suspension; Termination
This Agreement begins on the effective acceptance date and continues until terminated. Either party may terminate this Agreement at any time on written or electronic notice. The Company may suspend assignments or terminate this Agreement immediately for breach of privacy, consent, confidentiality, data security, site conduct, safety, fraud, falsification, creating multiple accounts, or material quality requirements.
Upon termination, Contractor shall stop collecting data. The Company will pay accepted deliverables submitted before termination in accordance with Section 6, subject to any lawful offset rights. Sections intended by their nature to survive, including Sections 8 through 13, survive termination.
12. Liability Allocation
Contractor shall be responsible for losses, claims, fines, penalties, or damages arising from Contractor's unlawful conduct, unauthorized recording, willful misconduct, fraud, gross negligence, breach of confidentiality, breach of privacy obligations, or breach of this Agreement.
To the fullest extent permitted by law, neither party shall be liable to the other for indirect, incidental, special, exemplary, or consequential damages arising out of this Agreement. Nothing in this Agreement limits liability that cannot lawfully be limited.
13. Country Addendum; Electronic Execution; Miscellaneous
This global form must be read together with the applicable Country Addendum for the country in which collection occurs. If there is any conflict, the Country Addendum controls.
This Agreement, together with the Company's policies, each accepted Assignment Brief, and the applicable Country Addendum, states the entire agreement of the parties regarding the subject matter and supersedes prior discussions on that subject matter.
This Agreement may be accepted and executed by electronic signature, click acceptance, typed-name signature, recorded assent, or another reliable electronic method, to the extent permitted by the applicable Country Addendum and local law. The Company may retain a transaction record, timestamp, session record, or similar metadata as evidence of assent.
